권리금문제의 해결을 위한 소고

Abstract

현재 우리나라에는 권리금에 관한 분쟁이 급격히 증가하고 있다. 권리금은 상가건물의 임대차에 부수하여 임차인이 임대인이나 전임차인에게 지급하는 금전을 말한다. 권리금을 지급한 임차인은 다음 임차인에게 권리금을 지급받을 수 있다는 생각으로 임대인이나 전임차인에게 권리금을 지급하는데 여러 가지 사정으로 인해 다음 임차인에게 권리금을 받을 수 없는 경우가 발생하기 때문이다. 이 문제를 해결하기 위하여 임차인은 임대인에게 권리금의 전부나 일부를 반환받을 수 있다는 주장이 제기되나 원칙적으로 임대인에게 대하여 권리금의 반환을 청구할 수 없다고 해석하는 것이 타당하다고 생각한다. 한편 권리금 문제를 해결하기 위하여 정부에서는 「상가건물 임대차보호법」을 개정하려 준비하고 있다. 중요한 내용은 ①상가건물 임대차보호법의 적용대상을 모든 상가건물 임대차로 확대하고, ②임대인에게 협력의무를 부과하여 임차인이 주선한 신규임차인과 임대차계약을 체결할 의무를 부과하는 것을 내용으로 하고 있다. 그러나 ①의 내용은 임차인 보호를 위해 필요한 내용이지만, ②의 내용은 건물의 소유권자의 기본적인 권리를 침해할 가능성이 높다고 판단된다. 권리금 문제를 해결하는 방법으로 권리금을 지급한 임차인을 보호하는 것도 중요하지만, 권리금의 지급 없이 임대차계약을 체결할 수 있는 토대를 마련하는 것이 더욱 중요하다고 생각된다.

In Korea, the disputes about the foregift are increasing exponentially. The definition of foregift is a premium paid to a lessor or a predecessor of tenants for a lease by a tenant. Usually, tenants who have paid the foregift have thought they may get the money from next tenants. However, the tenants who have paid the foregift may not get it due to certain situations. Although, to solve this problem, some scholars have argued tenants may get the money paid to the predecessor. However, to solve the issue, the Korean Congress and Central Government have tried to amend the Commercial Building Lease Protection Act. Some important provisions include ① all commercial buildings are included in the application of the Act, ② lessors should make contract a new tenant who is recommended by a current tenant. I think first one may be reasonable to protect the tenants. However, second one may not be enforceable because it may be unconstitutional. It may be important to solve the problems of foregift to protect tenants, but more important thing is the ground to make a contract without the foregift.
